Terms & Conditions

1. Introduction

These Terms & Conditions ("Terms") govern the use of Frontlens LLC services and products. By purchasing, accessing, or using any Frontlens service, product, or website, you agree to be bound by these Terms.

Throughout these Terms:

  • "Frontlens" refers to Frontlens LLC.
  • "Customer" refers to any individual or organization purchasing or using Frontlens products or services.
  • "Website System" refers to a Frontlens website system sold under license.
  • "Custom Request" refers to any customer-requested modification, enhancement, customization, or service.
  • "System Care" refers to the ongoing maintenance and support service offered by Frontlens.

2. Services Overview

Frontlens provides the following services:

Website Systems

Frontlens develops and licenses pre-built website systems, including but not limited to DONORDOC-01 and future Frontlens systems.

Custom Requests

Frontlens may provide custom work including:

  • Quick Updates
  • System Extensions
  • Bug Fixes
  • Special Customizations

System Care

Frontlens offers ongoing maintenance, support, monitoring, and improvement services for eligible customers through the System Care plan.

3. Website System License

License Grant

Upon purchase, the Customer receives a non-exclusive, non-transferable license to use the purchased Website System for one business entity.

Unless otherwise specified, the license grants lifetime use of the purchased Website System.

Restrictions

Customers may not:

  • Resell the Website System
  • Redistribute source files
  • Share source files publicly
  • Claim the Website System as their own product
  • Create competing website products using Frontlens intellectual property

Ownership

Frontlens retains ownership of:

  • Website System designs
  • Frameworks
  • Layout structures
  • Documentation
  • Intellectual property

Customers retain ownership of:

  • Their business content
  • Their branding assets
  • Their business data
  • Modifications created specifically for their business

4. Website System Delivery

Delivery Methods

Website Systems may be delivered through:

  • Secure download links
  • Email delivery when necessary
  • Other approved digital delivery methods

Frontlens does not deliver Website Systems through repository transfers or Webflow transfers.

Customer Responsibilities

Customers are responsible for:

  • Downloading delivered files promptly
  • Maintaining backups
  • Verifying successful delivery

Delivery Completion

Delivery is considered complete once the purchased files have been successfully made available to the Customer.

5. Refund Policy

Website Systems

Website Systems are digital products and are generally non-refundable once delivered.

Custom Requests

Custom Request payments are generally non-refundable once work has begun.

System Care

System Care subscription payments are non-refundable for the billing period already in progress.

6. Custom Request Terms

Scope of Work

Custom work is performed based on:

  • Customer requirements
  • Approved specifications
  • Agreed deliverables

Additional Work

Work outside the approved scope may require:

  • A separate quote
  • A separate invoice
  • A separate request

Revisions

Frontlens may include up to three (3) revisions per approved Custom Request.

Requests that significantly alter the approved scope, introduce new requirements, or require substantial redevelopment may be considered new work and billed separately.

7. Third-Party Services

Third-Party Providers

Frontlens may utilize third-party providers including:

  • Webflow
  • Stripe
  • Airtable
  • Zapier
  • Amazon Web Services (AWS)
  • Hosting providers
  • Domain providers
  • Analytics providers

Limitations of Responsibility

Frontlens is not responsible for:

  • Third-party outages
  • Third-party pricing changes
  • Third-party policy changes
  • Third-party platform limitations

8. Customer Responsibilities

Customers agree to:

  • Provide accurate information
  • Maintain required access credentials
  • Supply content when requested
  • Respond to requests within a reasonable timeframe

Project timelines may be affected by customer delays.

9. System Care Terms

Eligibility

System Care is intended for customers who own a Frontlens Website System.

Included Services

System Care may include:

  • Minor website updates
  • Website maintenance
  • Bug fixes
  • Priority support
  • Approved enhancements
  • Frontlens Standards Audits

Exclusions

System Care does not include:

  • Complete redesigns
  • New website builds
  • Branding services
  • Strategy consulting
  • Major custom development

10. Access Requirements

Customers requesting Custom Requests or subscribing to System Care may be required to provide:

  • Repository access
  • Hosting access
  • Other necessary platform access

Frontlens is not responsible for delays resulting from missing or restricted access.

11. Third-Party Modifications

Frontlens is not responsible for issues caused by:

  • Customer modifications
  • Contractor modifications
  • Agency modifications
  • Third-party integrations

Any resulting repairs may require a separate paid service.

12. Availability & Support

Support is provided during normal business operations.

Response times are estimates only and are not guaranteed.

Frontlens does not guarantee immediate support availability.

13. Limitation of Liability

To the fullest extent permitted by law, Frontlens shall not be liable for:

  • Lost revenue
  • Lost profits
  • Business interruption
  • Data loss
  • Indirect damages
  • Consequential damages

Frontlens' maximum liability shall not exceed the amount paid by the Customer for the specific service involved.

14. Intellectual Property

All Frontlens Website Systems, frameworks, assets, documentation, designs, and related intellectual property remain the property of Frontlens unless otherwise stated in writing.

15. Future Updates

Frontlens may:

  • Improve Website Systems
  • Add features
  • Update documentation
  • Release new versions

Purchasing one Website System does not automatically grant access to future premium products, systems, or versions unless explicitly stated.

16. Termination

Frontlens reserves the right to suspend or terminate services if:

  • These Terms are violated
  • Fraudulent activity occurs
  • Abuse or harassment occurs
  • Payment obligations are not met

17. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States.

Any legal disputes shall be resolved in the courts of Delaware.
